These Terms of Use constitute an agreement between you and Glassfrog Technologies Private Limited (“We,” “Us,” or “Glassfrog,” as the context may be). There are rules you agree to follow when using FreelancerLLM at www.freelancerllm.com and other related websites, dashboards, APIs, and the FreelancerLLM for Upwork Chrome extension with links to these Terms of Use (collectively, the “Site” or “Service”), including when you view or input content on or into the Site. PLEASE READ THESE USER TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SERVICE. Your registering below shall be considered as acceptance of these User Terms and Conditions for usage.

Who we are

FreelancerLLM is an Internet-based technology platform operated by Glassfrog that helps freelancers and agencies analyze marketplace jobs, draft proposals, and manage freelance workflows using AI-assisted tools. The website, dashboard, API, associated applications, and Chrome extension are products of Glassfrog Technologies Private Limited . Glassfrog Technologies Private Limited manages Glassfrog operations in India. Glassfrog Technologies Private Limited is a company duly registered under applicable Indian law and having its registered office at #17, Abhishek Tower, 14 Subhash Road, Dehradun, Uttarakhand-248001. By accessing and signing up for the FreelancerLLM service on creation of a user account, you are agreeing to abide by the terms and conditions mentioned hereunder.

Nature of Service

FreelancerLLM is an online platform providing access to AI-assisted freelance intelligence tools, including job scoring, proposal drafting, contract analysis, workspace analytics, and related features offered through our website, dashboard, API, and browser extension. The Service may be accessed through our web portal or applications installed on computers, mobile devices, or tablets.

You explicitly acknowledge that FreelancerLLM is a productivity and decision-support tool. It does not guarantee job wins, client responses, or income. You remain solely responsible for reviewing and submitting all proposals, messages, and contract decisions. The Service is not a substitute for your own professional judgment or for compliance with third-party marketplace rules (including Upwork Terms of Service).

FreelancerLLM is not affiliated with, endorsed by, or sponsored by Upwork Global Inc. or any other marketplace. Glassfrog is a technology solution provider. Access to the Service may be modified, suspended, or revoked by Glassfrog without prior notice via email, SMS, or other communication where appropriate.

By using FreelancerLLM, you may receive automated email or SMS notifications relevant to your account, billing, or Service features, to the contact details you provide during registration, subject to applicable law and your notification preferences where offered.

Third-party platforms and service providers

The Site is a platform through which you may use tools to support your freelance business. We operate the Site as a technology service. AI features may rely on third-party LLM providers; payment processing is handled by third-party payment processors. We do not guarantee that the Site or any feature is suitable for every user. Your relationship with clients and marketplaces is separate from your relationship with Glassfrog.

User Account

You represent that if you are an individual, you are of legal age to enter into a binding contract, or that if you are registering on behalf of a legal entity, you are authorized to enter into and bind the entity to these User Terms and Conditions. By using the Service, you enter into a contract with Glassfrog.

To use the Service, you must create an account. When signing up, you are obligated to provide accurate personal information, email, and other details as required. Upon successful registration, the Service will be accessible using your personal user ID and password. Your credentials are unique to you; you agree not to disclose or share them with any third party. You are responsible for keeping your password confidential and notifying us at support@glassfrog.design if your account has been compromised.

The accuracy, integrity, and completeness of information you enter into our system is your responsibility, and Glassfrog assumes no liability for misuse caused by information you or anyone you authorize provides. We reserve the right to disclose your identity or other account information if required by law, to investigate complaints, or if we determine (in our sole discretion) that account content is inappropriate or offensive. We may terminate your access at any time in our sole discretion, without notice.

Your Responsibilities

By using our Service, you further agree that you may only use the Site for lawful purposes and in accordance with these Terms. We reserve the right to terminate the Service and block your account for non-compliance.

You will only use the account for your sole, personal or authorized business use and will not resell it to a third party
You will adhere to the Terms of Service, Privacy Policy, and this Refund Policy at all times
You will not authorize others to use your account except as permitted by your plan
You will not assign or transfer your account to any other person or legal entity without our consent
You will not use the Service for unlawful purposes, including fraud or harassment
You will not impair the proper operation of the network or attempt to harm the Service
You will keep secure and confidential your account password and any access credentials we provide
You will provide reasonable proof of identity when we request it
You will not disable, tamper with, or circumvent any billing mechanism
You will not use the Site in any way that damages Glassfrog or FreelancerLLM reputation or goodwill
You will not attempt unauthorized access to materials or systems beyond your permitted scope
You will comply with all applicable law in your jurisdiction while using the Service
You will not transmit infringing, obscene, threatening, or otherwise unlawful material
You will not attempt to reverse engineer, decompile, or copy our software except as permitted by law
You will not use automated bots or abusive scraping that stresses the Site without permission

Fees and Payment

You agree to pay the stated fees for paid plans (such as FreelancerLLM Pro) purchased through the Site. Fees may include subscription charges, taxes, and processing costs as shown at checkout. Our liability to you is not increased by virtue of collecting fees as part of the Service. Fees must be paid in the currency listed unless otherwise specified. Where foreign exchange applies, your financial institution may charge conversion fees for which you are responsible. Fees may be updated with reasonable notice. We do not store full credit or debit card details; payments are processed via compliant third-party payment providers (for example, Cashfree). Transactions are encrypted using industry-standard security. Unless explicitly stated, fees are inclusive of applicable taxes.

Refunds and Cancellation Charges

The following terms apply to cancellation of paid FreelancerLLM subscriptions and related charges:

100% refund if Glassfrog cancels your paid subscription or fails to provision the paid Service you purchased, except where a partial period was already delivered.
100% refund if you cancel within 72 hours of the initial purchase of a new paid subscription, provided you have not materially consumed paid-only features beyond reasonable trial use.
Cancellations made after 72 hours from initial purchase, or renewal charges, generally follow the non-refundable policy in our Terms of Service, except where required by applicable law.
You are not entitled to a refund solely because you are dissatisfied with AI-generated suggestions, job scores, or freelance outcomes. Service or payment-processing charges may be deducted from any approved refund.
You may cancel renewal at any time from the billing section of your dashboard; access typically continues until the end of the paid period unless otherwise stated.

If we offer an alternative resolution (such as account credit or plan extension) and you accept it, the original payment may be handled according to the agreement we reach with you in writing.

Refund Processing Timeline

Refund requests will be processed within 5 to 7 business days from the date of approved cancellation. Once processed on our side, it may take an additional 10 to 15 business days for the refund to appear in your original payment method, depending on your bank or card issuer.

Late or Missing Refunds

It may take up to 3 working days for us to review and initiate a refund request. Even after Glassfrog processes a refund, banks and card companies may take longer to complete settlement. If you have not received a refund after 15 days, check with your payment provider. If you have done this and still have not received the refund, contact us at support@glassfrog.design with your account email, order or subscription ID, cancellation date, and any correspondence with your bank or card company.

Warranties

We do not warrant that access to or use of the Site will be uninterrupted or error-free or that defects will be corrected. The Site and Service are provided “as is,” with all faults, without representations or warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the accuracy or completeness of AI-generated content. You assume total responsibility and risk for your use of the Site and Service.

Security

Where there is unauthorized access or a breach of security, we will take appropriate steps to rectify it, including resetting credentials where necessary. You must take reasonable steps to protect your devices and accounts. No Internet service is completely secure; Glassfrog is not liable for losses resulting from security breaches beyond our reasonable control. We are not responsible for data stored on devices you own or control.

Content and Intellectual Property

Glassfrog and its affiliates own rights in the Site, software, branding, and documentation (excluding your content). You receive a limited, non-exclusive license to use the Service subject to these Terms. You retain ownership of content you provide. You may not sell, modify, copy, or redistribute our Content without written permission. FreelancerLLM names and logos may not be used without authorization.

Continued Development

You consent to us using feedback, ideas, and suggestions you provide concerning the Service. We may use such feedback in our business without further obligation to you, and you assign applicable intellectual property rights in that feedback to Glassfrog.

Privacy Policy

These Terms are subject to our Privacy Policy, which explains how we collect and use information for FreelancerLLM.

Off-Site Conduct

You may not use information obtained from the Service to harass, spam, or harm other persons, or to violate marketplace or platform rules.

Termination

We may terminate access to the Site if you breach these Terms or if we determine the Service is not appropriate for your use, subject to applicable law.

Disclaimer and Limitation of Liability

To the fullest extent permitted by law, we exclude conditions and warranties in relation to the Site. Under no circumstances will Glassfrog be liable for indirect, incidental, special, or consequential damages arising from use of the Service, including lost profits, lost data, marketplace penalties, or missed freelance opportunities.

Glassfrog Technologies Private Limited and its affiliates shall not be liable for loss or injury caused by relying on AI-generated content or other information obtained through FreelancerLLM. Where liability cannot be excluded, our total liability for any claim shall not exceed the greater of (A) fees you paid us in the twelve (12) months before the claim or (B) the amount paid for the specific subscription giving rise to the claim.

Indemnity

You agree to indemnify Glassfrog and its officers, directors, agents, and affiliates from claims, liabilities, costs, and expenses (including legal costs) resulting from your breach of these Terms or misuse of the Service.

Reporting

If you encounter content that violates these Terms, email support@glassfrog.design with the reason for your concern and a clear description or link to the specific page.

Confidentiality

If you receive information that a reasonable person would consider confidential, contact us immediately at support@glassfrog.design.

Applicable Law

These Terms will be governed by the laws of India. You submit to the exclusive jurisdiction of the courts of Dehradun, Uttarakhand, India, unless mandatory consumer law requires otherwise. If any provision is invalid, the remainder continues in full force.
