These Terms of Service (“Terms”) govern your access to and use of FreelancerLLM, a product operated by Glassfrog (“we,” “us,” or “our”), including our website, dashboard, API, and the FreelancerLLM for Upwork Chrome extension (together, the “Service”). By creating an account, installing the extension, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Please also read our Privacy Policy, which explains how we collect and use information.
1. Who may use the Service
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. The Service is intended for freelancers and agencies using third-party marketplaces such as Upwork. You are responsible for ensuring your use complies with each platform’s rules and applicable law.
2. Account registration and security
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity under your account.
- Notify us promptly at support@glassfrogtech.com if you suspect unauthorized access.
- We may suspend or terminate accounts that violate these Terms or pose a security risk.
3. Description of the Service
FreelancerLLM provides tools that may include:
- Job intelligence, fit scoring, and connect-related guidance on Upwork listings
- AI-assisted proposal drafting and editing (you review and send all submissions)
- Contract and scope risk analysis for freelance agreements
- Workspace analytics, billing, and team features on paid plans
- A browser extension that reads marketplace pages you visit to power the features above
Features may change over time. We do not guarantee uninterrupted availability, specific outcomes (such as winning jobs), or that scores and suggestions are error-free.
4. Your responsibilities
You agree that you will:
- Use the Service only for lawful freelance business purposes
- Comply with Upwork and any other marketplace Terms of Service, policies, and community guidelines
- Review and approve all proposals, messages, and contract decisions before submitting them—you remain solely responsible for what you send to clients
- Not misrepresent AI-generated content as human-written where platform rules prohibit it
- Not use the Service to spam, scrape in violation of platform rules, or circumvent marketplace systems
- Not reverse engineer, resell, or abuse API access except as we expressly permit
5. Third-party platforms
FreelancerLLM is not affiliated with, endorsed by, or sponsored by Upwork Global Inc. or any other marketplace. Upwork® is a trademark of its respective owner.
Your relationship with clients and platforms is separate from your relationship with us. We are not a party to your freelance contracts and are not responsible for payment disputes, scope disagreements, or account actions taken by third-party platforms.
6. AI-generated content
The Service may use artificial intelligence to produce drafts, scores, and recommendations. Such output is provided “as is” for assistance only. You must verify accuracy, tone, and compliance before relying on or publishing AI-generated content. We disclaim liability for errors, omissions, or consequences of content you submit to clients or platforms.
7. Chrome extension
- The extension requires your explicit install and account linking from the dashboard.
- It operates on marketplace domains (for example,
*.upwork.com) to read job and form content needed for features you use. - You may disconnect the extension at any time; local tokens and settings may be cleared when you do.
- Extension updates may be delivered through the Chrome Web Store; continued use may require accepting updates.
8. Plans, billing, and refunds
Some features require a paid subscription (“Pro,” “Agency,” or other plans we offer). Prices and features are shown at checkout or on our pricing page. By subscribing, you authorize us and our payment processor to charge the applicable fees on a recurring basis until you cancel.
- Fees are generally non-refundable except where required by law or stated in writing by us.
- You may cancel renewal through the billing section of your dashboard; access continues until the end of the paid period unless otherwise stated.
- We may change pricing with reasonable notice; changes apply to new billing cycles after notice.
- Taxes may apply based on your location and are your responsibility where not collected by us.
9. Acceptable use
You may not:
- Access the Service through automated means except via APIs we document and permit
- Probe, scan, or test vulnerabilities without written permission
- Upload malware or interfere with other users or infrastructure
- Use the Service to infringe intellectual property or privacy rights
- Share account access in ways that violate your plan’s seat limits
We may investigate violations and cooperate with law enforcement when required.
10. Intellectual property
We own the Service, software, branding, and documentation (excluding your content). You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription or free tier, subject to these Terms.
You retain ownership of content you provide (job text, proposals, profile data). You grant us a license to host, process, and display that content solely to operate and improve the Service, including sending necessary portions to AI providers when you use AI features.
11. Confidentiality and feedback
Non-public information about our product roadmap or systems must not be disclosed without permission. If you send feedback or suggestions, we may use them without obligation to compensate you.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, OR THAT YOU WILL OBTAIN SPECIFIC FREELANCE INCOME OR JOB WINS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLASSFROG (OPERATOR OF FREELANCERLLM) AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST CONNECTS, PLATFORM PENALTIES, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) USD $100.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
14. Indemnification
You will defend and indemnify Glassfrog against claims arising from your use of the Service, your content, your breach of these Terms, or your violation of third-party rights or platform rules, except to the extent caused by our gross negligence or willful misconduct.
15. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends; sections that by nature should survive (including disclaimers, limitation of liability, and indemnity) will survive.
16. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Material changes may be notified by email or in-app notice where appropriate. Continued use after changes become effective constitutes acceptance.
17. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country require otherwise. Courts located in India will have exclusive jurisdiction over disputes, unless applicable law requires a different forum.
Before filing a claim, you agree to contact us at support@glassfrogtech.com and attempt to resolve the dispute informally for at least thirty (30) days.
